This End User Licence Agreement ("EULA") is between you and S.U. Corporation Limited, trading as Strictly Underground ("we", "us"), and governs every SU software product bought or activated through ukunderground.com (each a "Plugin"). By purchasing, downloading, installing or activating a Plugin you agree to this EULA. It applies together with our Terms & Conditions; for consumers, nothing in it removes your statutory rights.
1. What you get
We grant you a personal, non-exclusive, non-transferable licence to install and use the Plugin for making and producing music (commercial or non-commercial). Your licence is tied to your account email and activation code, and permits activation on up to the number of machines ("seats") stated at purchase. You can free a seat yourself at any time from My Software (Deactivate) and activate on a different machine.
Your music is yours. Audio you create with a Plugin is 100% yours, royalty-free, forever — including commercial releases. This EULA licenses the software, not your output.
2. What you must not do
- Share, publish, resell or transfer your activation code or licence to anyone else.
- Distribute the Plugin (or any part of it, including its DSP components or presets we ship) on any website, file-sharing network or physical medium.
- Rent, lease, sublicense or provide the Plugin as a service.
- Reverse engineer, decompile or disassemble the Plugin, except to the limited extent expressly permitted by applicable law (e.g. s.50B Copyright, Designs and Patents Act 1988 for interoperability) after asking us first.
- Remove, disable or circumvent the licence-protection, activation or integrity mechanisms in the Plugin.
3. Activation and machines
Plugins activate against our licensing server using your account email and activation code, and store a machine-bound licence on your computer. A stable internet connection is needed at activation (not for normal offline use afterwards). If you replace hardware, deactivate the old machine in My Software first, or contact support and we will free the seat.
4. Suspension and revocation
We may suspend or revoke a licence (which prevents new activations and may disable existing ones) where: payment for it is reversed, disputed as fraudulent, or charged back; the activation code has been shared or published; this EULA is materially breached; or revocation is required by law. A revoked licence shows as revoked in the Plugin's activation flow. If we revoke without such a cause, we will refund the purchase. If you believe a revocation is a mistake, use our legal notice form (software licence dispute) or contact support@ukunderground.com and we will review it.
5. Your 14-day right to cancel (consumers)
As set out in the Terms and at checkout: for digital products you expressly consent to immediate delivery, and you lose the 14-day right to cancel once download or activation has begun. This does not affect your rights if the software is faulty (Consumer Rights Act 2015): if a Plugin is faulty and we cannot fix it within a reasonable time, you are entitled to a repair, replacement or refund.
6. Updates and support
We may provide updates, fixes and improvements at our discretion. Updates may be required for continued activation on new operating systems. Support is provided by email at support@ukunderground.com.
7. Warranty and liability
To the maximum extent permitted by law, the Plugin is provided "as is" for the purposes described on its product page. Nothing in this EULA excludes or limits our liability for death or personal injury caused by negligence, fraud, or anything else that cannot be excluded by law. Otherwise, our total liability under this EULA is limited to the price you paid for the Plugin. We are not liable for loss of profits, projects or data — keep backups of your work.
8. Privacy
Activation processes your account email, activation code and a machine identifier (a non-reversible hardware fingerprint) solely to enforce seat limits and prevent fraud — see our Privacy Policy.
9. Term, termination and law
This EULA lasts as long as you use the Plugin. It ends automatically if you materially breach it (and the licence may then be revoked, section 4). Sections that by nature survive (ownership, liability, law) survive termination. This EULA is governed by the law of England and Wales; consumers retain any mandatory protections of their country of residence, and consumers may bring proceedings in their local courts.
